Appointing a Director
JULY DIRECTORS with terms ending (sent Last week JULY) As you may be aware the role of the ANZTS Director is demanding on the time available for each person. Although the expectation for attendance at the meetings was set at NN% for directors, your attendance since the last AGM has been recorded as NNN% (MMM Directors meeting minutes appendix 2). Your appointment to the ANZTS board in 20NN was for a three-year period (as per our constitution section 14.4), a director’s term of office starts at the end of the annual general meeting at which they are elected and ends at the end of the annual general meeting at which they retire (41.3). If you request to stand for re-election please ensure you are familiar with the ANZTS constitution, especially section 41 and 42. If we receive more nominations than vacancies, you may be called upon to provide a statement (not greater than 250 words) for the membership for your election to the board. Could you confirm if you would like to stand for re-election as a member of the ANZTS Board by Sunday DD MMM YYYY. As the call for nominations needs to be issued on the DD MMM. for elections to be held by the end of Sep, prior to the AGM. ALL Directors without terms ending (sent Last week JULY) While your current term of office is not approaching its conclusion, we are proactively seeking confirmation from all sitting directors regarding their intention to continue serving after the AGM in October. We are conscious that the role of an ANZTS Director demands a substantial investment of time and effort. Could you confirm if you would like to stand down as a member of the ANZTS Board by Sunday DD MMM YYYY. No response will be accepted as acknowledgement of the continuation of your current term. As the call for nominations needs to be issued on the DD MMM. for elections to be held by the end of MMM, prior to the AGM. |
AUGUST Proforma Announcement to all members (sent same day as the below proforma announcement) ANZTS Members are invited to submit their nominations for the ANZTS Board for the term 2024 – 2027. There are six (6) positions available this year. Nominations will be voted on prior to the AGM and the results will be announced during the Annual General Meeting at the conference. According to ANZTS Board By-Laws, the board must include: – At least two (2) Australian residents – At least two (2) New Zealand residents No more than 50% representation from any single jurisdiction (e.g., State or Territory of Australia) All prospective board members must have a director identification number issued by the Australian Business Registration Service. To nominate yourself or a colleague, please complete the online ANZTS Board Nominations Form by 5pm AEST on Friday, 29 August 2024. The nomination form will always be available on the website, and members will be notified each year of the nomination period ahead of the AGM. For further inquiries about board roles and responsibilities, please contact the Secretariat at admin@anzts.com.au. An election will be held if the number of nominations exceeds the available positions. DIRECTORS with TERMS ending (sent Mid AUG after Closing Date in JULY emails) Board members, Please be advised that a call for nominations will be issued to the membership, following the notification of an intent to complete the term of office from an existing board member. For those who have expressed interest in continuing your board membership, you are not required to submit a new application. In the event that the number of nominations exceeds the available vacancies, an election will be necessary. If an election is held, please prepare a statement (maximum 250 words) to support your candidacy.
